Background

The purpose of this website is to inform Settlement Class Members that a settlement has been reached in the above-captioned securities class action lawsuit against Marqeta, Inc., Simon Khalaf, and Michael Milotich (the “Settlement”).

On September 3, 2026, the Court preliminarily approved the Settlement, authorized the provision of notice of the Settlement to Settlement Class Members, and scheduled a Settlement Hearing to consider whether to grant final approval of the Settlement and related relief.

If the following description applies to you, then you may be a Settlement Class Member included in the Settlement:

All persons and entities that purchased or otherwise acquired the publicly traded Class A common stock of Marqeta, Inc. (“Marqeta Common Stock”), and/or purchased or otherwise acquired publicly traded call options on such stock (“Marqeta Call Options”), and/or wrote publicly traded put options on such stock (“Marqeta Put Options”), between February 28, 2024 and November 4, 2024, inclusive (the “Settlement Class Period”), and who were damaged thereby, except for certain persons and entities that are excluded from the Settlement Class.

Under the terms of the Settlement, Defendants will pay $13 million into a common settlement fund. Subject to Court approval, the Settlement Fund will be used to pay eligible Settlement Class Members, as well as Court-approved attorneys' fees and expenses and the costs of notice and claims administration.

Your Legal Rights and Options

December 31, 2026 Claim Filing Deadline	To be eligible to receive a payment from the Settlement, you must submit a completed Claim Form and supporting documentation so that it is received (if mailed) or submitted online no later than December 31, 2026, in accordance with the instructions in the Notice and Claim Form.
December 22, 2026 Exclusion Deadline	To exclude yourself (opt out) from the Settlement Class, you must submit a request for exclusion so that it is received no later than December 22, 2026, in accordance with the instructions in the Notice.
December 22, 2026 Objection Deadline	To object to the Settlement, the Plan of Allocation, or Lead Counsel's request for attorneys' fees and Litigation Expenses, you must submit a written objection in accordance with the instructions in the Notice so that it is filed with the Court no later than December 22, 2026.
January 12, 2027 Final Approval Hearing	The Court will conduct a Fairness and Final Approval Hearing on January 12, 2027 at 9:00 a.m. PT before the Honorable Yvonne Gonzalez Rogers at the United States District Court for the Northern District of California, Ronald V. Dellums Federal Building & United States Courthouse, 1301 Clay Street, Courtroom 1, 4th Floor, Oakland, California 94612.
Do Nothing	If you do nothing, you will remain a member of the Settlement Class, but you will not receive any money from this Settlement unless you submit a Claim Form timely.
